Form LL is a restriction for individual owners. A property owned by a company is protected by a separate company counter-fraud restriction, which GOV.UK says a company can request free using the company request form, RQ(Co). Once registered, a conveyancer must certify that the company signing a disposition is the same company as the registered owner. HM Land Registry's Practice Guide 19 confirms company counter-fraud restrictions are cancelled automatically on a transfer of the whole title.
Why companies need a different restriction
Form LL's wording refers to a person who executed the document being the same person as the proprietor. A company signs through its officers, so the standard Form LL wording does not fit. Historically companies had to apply for a non-standard restriction; GOV.UK now provides a company request route.
Who should consider it
- Limited company and SPV buy-to-let landlords
- Companies holding commercial premises that are let or vacant
- Family investment companies with directors abroad
- Companies whose property is mortgage-free
How to request it
- Confirm the registered proprietor. Check the company name and registration number exactly as on the title register.
- Complete the company request. GOV.UK directs companies to the company request for a restriction, sent to the address on the form. There is no fee.
- Keep the address for service current. Use an address and email monitored by a director.
- Register for Property Alert. Free for up to 10 properties.
Complying with it later
When the company sells or refinances, a conveyancer must certify the company executing the deed is the registered proprietor. Directors may need to verify their identity with an ID2 form where a party is not represented. HM Land Registry's Practice Guide 19 also explains which individuals can give a certificate or consent on behalf of a corporation under rule 91B of the Land Registration Rules 2003.
Cancellation on sale
Practice Guide 19 was updated to confirm that company counter-fraud restrictions are cancelled automatically on a transfer of the whole title, so a buyer does not inherit it.
